I. General Terms of Use (ToU)

Effective Date: July 25, 2025

These General Terms of Use (hereinafter “ToU”) govern access to and use of the WeSplit application and services (hereinafter “the Service”), published by Third Space.

IMPORTANT WARNING:

The WeSplit Service gives you access to blockchain and crypto-asset technologies. These technologies are new, complex, and involve significant financial, technical, and regulatory risks. By using the Service, you acknowledge that you have read, understood, and accepted these ToU in their entirety, and in particular the articles relating to your exclusive responsibility and the risks inherent in these technologies. WeSplit never holds or controls your funds. The loss of your security credentials (private keys, recovery phrase) will result in the permanent and irreversible loss of your assets.


Article 1. Definitions

The terms below, when used with a capital letter, have the following meaning:

ServiceRefers to all the functionalities made available by WeSplit via its mobile application and website, constituting a non-custodial software interface.
UserAny natural or legal person who accesses and uses the Service after accepting these ToU.
Non-Custodial WalletA crypto-asset wallet for which the User is the sole holder of the Private Keys and the Recovery Phrase, giving them total and exclusive control over their funds.
Private KeysSecret cryptographic data allowing the User to authorize and sign Transactions from their Non-Custodial Wallet.
Recovery PhraseA list of words that allows access to a Non-Custodial Wallet to be restored in case of loss or change of device. It is the master key to the Non-Custodial Wallet.
TransactionAny crypto-asset transfer operation (e.g., USDC) initiated by a User and immutably recorded on a blockchain.
BlockchainA distributed, public, and decentralized ledger technology on which Transactions are recorded (e.g., Solana, Stellar).
Crypto-assetA digital asset based on cryptography, such as USDC, which relies on a Blockchain.
WeSplitRefers to the company Third Space, a simplified joint-stock company under French law, registered with the Paris RCS, which publishes and provides the Service.

Article 2. Purpose and Description of the Service

The company WeSplit provides its Users with a non-custodial software interface (the “Service”) accessible via a mobile application and a website. The Service allows Users to autonomously create and manage a Non-Custodial Wallet and to interact with Blockchain protocols (notably Solana and Stellar) to carry out Transactions in Crypto-assets (USDC).

It is expressly understood that WeSplit is solely a provider of technology and an interface. At no time does WeSplit act as a custodian, guardian, financial intermediary, broker, agent, or advisor.

WeSplit does not hold, control, or have access at any time to the Crypto-assets, Private Keys, or Recovery Phrases of its Users' Non-Custodial Wallets. Control of the assets remains at all times the exclusive prerogative and responsibility of the User.

Article 3. Access and Use of the Service

3.1. Eligibility

Access to the Service is reserved for natural persons who are at least 18 years of age and have full legal capacity. By creating an account, you declare and warrant that you meet these conditions.

3.2. Account Creation and Verification

Creating an account is necessary to use the Service. This process involves the automatic generation of a Non-Custodial Wallet. Access to certain features, particularly the initiation of Transactions, is conditional on the successful completion of an identity verification procedure (KYC - Know Your Customer), in accordance with WeSplit's regulatory obligations. The User agrees to provide accurate, complete, and up-to-date information.

3.3. General Obligations of the User

The User undertakes to:

  • Use the Service in accordance with its intended purpose, these ToU, and applicable laws.
  • Not use the Service for illicit or fraudulent purposes (money laundering, terrorist financing, etc.).
  • Not attempt to harm the integrity or security of the Service.

Article 4. User's Exclusive Responsibility for Security

This article is fundamental to the use of the WeSplit Service.

The Non-Custodial Wallet generated via the Service is entirely under your control. You are the sole and exclusive person responsible for the security of your login information, your password, your Private Keys, and your Recovery Phrase.

WeSplit has no technical access to this information and does not store it in any form. Consequently, WeSplit will never be able to recover your Wallet, access your funds, or cancel Transactions on your behalf.

WARNING: The loss of your Recovery Phrase will result in the permanent and irreversible loss of access to your assets. It is your responsibility to take all necessary measures to back up this information securely and confidentially, offline and safe from prying eyes and hacking attempts.

Article 5. Acceptance of Risks Associated with the Blockchain

By using the Service, you acknowledge, understand, and accept that you are interacting with a new and volatile technology. You agree to assume full responsibility for the risks inherent in the use of Crypto-assets and Blockchain technologies, including:

  1. Volatility Risk: The value of Crypto-assets, including stablecoins like USDC, can fluctuate unpredictably. WeSplit in no way guarantees the value or stability of your assets.
  2. Technological Risks: The underlying Blockchain protocols and smart contracts may contain bugs, flaws, or vulnerabilities, even after being audited. Any failure of these protocols may result in a partial or total loss of your funds, for which WeSplit cannot be held liable.
  3. Irreversibility of Transactions: Transactions made on a Blockchain are final and irreversible. A Transaction sent to an incorrect address or resulting from a handling error on your part cannot be cancelled or refunded. Be extremely vigilant when entering destination addresses.
  4. Network Fees (Gas Fees): Any Transaction on the Blockchain requires the payment of network fees (e.g., on Solana or Stellar). These fees are variable, beyond WeSplit's control.
  5. Regulatory Risks: The legal framework applicable to Crypto-assets is constantly evolving. New laws or regulations could impact the use, value, or legality of your assets.

Article 6. Disclaimers and Limitation of Liability

The Service is provided “as is” and “as available”, without any express or implied warranty of any kind.

To the fullest extent permitted by applicable law, WeSplit shall not be liable for any direct or indirect damage, including but not limited to, loss of profits, data, or funds, resulting from:

  • The loss or theft of your Private Keys or Recovery Phrase.
  • Any handling error on your part (e.g., sending funds to a wrong address).
  • The hacking of your personal devices (computer, smartphone).
  • A failure, congestion, or attack on the underlying Blockchain.
  • A flaw or bug in a smart contract with which you interact.
  • The volatility of Crypto-assets.
  • The suspension or interruption of the Service.

WeSplit's liability, should it be established, shall be strictly limited to direct and foreseeable damages resulting from a proven breach of its contractual obligations, and shall not exceed the total amount of commissions collected by WeSplit from the User concerned during the six (6) months preceding the event giving rise to the damage.

Article 7. Intellectual Property

WeSplit is and remains the exclusive owner of all intellectual property rights relating to the Service, including but not limited to, the software, graphical interfaces, design, databases, the “WeSplit” trademark, and logos.

WeSplit grants the User a personal, non-exclusive, non-transferable, and revocable license to use the Service, for personal or professional use, in accordance with these ToU. Any other use, reproduction, representation, or adaptation, in any form whatsoever, of all or part of the elements of the Service, without the prior written consent of WeSplit, is strictly prohibited.

Article 8. Suspension and Termination

8.1. Suspension

WeSplit reserves the right to suspend a User's access to the Service, temporarily, in the event of reasonable suspicion of a violation of these ToU, fraud, use for illicit purposes, or a risk to the security of the Service or other Users.

8.2. Termination

  • By WeSplit: WeSplit may terminate a User's access to the Service by right in the event of a serious and proven breach of these ToU, particularly in cases of illegal activities, fraud, or attempts to harm the Service.
  • By the User: The User may stop using the Service at any time. Termination does not affect Transactions already completed on the Blockchain.

The termination of the account does not release the User from their responsibility to secure and manage the funds present in their Non-Custodial Wallet.

Article 9. Applicable Law and Competent Jurisdiction

These ToU are subject to French law.

Any dispute relating to their interpretation, validity, or execution shall, in the absence of an amicable resolution between the parties, fall under the exclusive jurisdiction of the competent courts of Lyon, notwithstanding multiple defendants or third-party claims.

Article 10. Regulatory Status

WeSplit is a start-up currently in the process of being building and does not yet hold any license or registration under European regulations, including but not limited to the MiCA Regulation (Markets in Crypto-Assets) and the DORA Regulation (Digital Operational Resilience Act).

However, WeSplit is committed to aligning its internal policies and technical architecture with the requirements of these regulations from day one. By using our services, Users acknowledge and accept the current non-regulated status of WeSplit and will be transparently informed of future progress toward regulatory approval. Our objective is to become regulated as soon as possible to provide the most secure and stable service to our users.

II. General Terms of Sale (ToS)

Effective Date: July 25, 2025

These General Terms of Sale (hereinafter “ToS”) are intended to define the terms and conditions under which Third Space provides its Paid Services to its Users. They supplement the General Terms of Use (ToU) which govern overall access to the Service. Acceptance of these ToS implies full and complete acceptance of the ToU.

Article 1. Definitions

Capitalized terms in this document have the same meaning as that assigned to them in the ToU, supplemented by the following definitions:

Paid ServiceRefers to any service provided by WeSplit in exchange for a payment from the User, in particular the Transaction Service and the Premium Subscription.
Transaction ServiceThe feature of the Service that allows a User to initiate a Transaction, giving rise to the collection of a Commission.
CommissionThe percentage collected by WeSplit on the amount of a Transaction as remuneration for the Transaction Service.
Premium SubscriptionThe paid annual subscription offer providing access to advanced features of the Service.

Article 2. Purpose and Scope

These ToS apply, without restriction or reservation, to all Paid Services offered by WeSplit to its Users via its mobile application and website.

The User declares to have read and accepted these ToS before implementing any paid operation. The validation of a Transaction or the subscription to a Premium Subscription constitutes unreserved acceptance of these ToS.

Article 3. Description of Paid Services

WeSplit offers two types of Paid Services:

3.1. The Transaction Service (Commission)

WeSplit collects a Commission on each payment or withdrawal Transaction initiated by a User from their Non-Custodial Wallet. This Commission remunerates the provision and maintenance of the software interface facilitating the operation.

  • The Commission is solely borne by the initiator (the sender) of the Transaction.
  • Depositing funds into the Non-Custodial Wallet is not subject to a Commission from WeSplit.

3.2. The Premium Subscription

The Premium Subscription is an optional annual offer providing access to advanced features intended for intensive or professional use, such as:

  • Transaction validation through multiple signatures (multi-sig).
  • Collaborative dashboards for financial tracking.
  • Management of extended groups.
  • White-label tools for organizations (DAOs, associations, etc.).

Article 4. Pricing Conditions

The prices for the Paid Services are as follows:

Important details:

  • Currency: Prices are expressed in Euros (€). However, the Commission is collected on the Transaction amount in USDC. The amount collected corresponds to the USDC equivalent of the percentage calculated on the value of the Transaction.
  • Transparency: The exact amount of the Commission is clearly displayed to the User before the final validation of each Transaction.
  • Network Fees: WeSplit's fees will be group with the network fees (or “gas fees”) specific to the Blockchain (Solana, Stellar). We cover gas fees for you. In rare cases of network congestion, additional gas fees may apply. You will be informed clearly and in advance during the transaction.
  • Price changes: WeSplit reserves the right to change its prices. The User will be notified of any change by any appropriate means at least thirty (30) days before it comes into effect. A User who does not accept the new prices may cease to use the Paid Services concerned.

Article 5. Order and Payment Methods

5.1. For the Transaction Service

The process is fully automated:

  1. The User initiates a Transaction from the WeSplit interface.
  2. The interface displays a summary of the operation, including the Transaction amount, the recipient's address, the estimated network fees, and the exact amount of the WeSplit Commission.
  3. By confirming the Transaction, the User accepts the collection of the Commission.
  4. The Commission is collected directly from the total amount transferred from the User's Non-Custodial Wallet.

5.2. For Subscribing to the Premium Subscription

  1. The User selects the Premium offer from their account.
  2. The User proceeds to payment via the proposed methods (e.g., credit card, bank transfer, payment in USDC).
  3. The Premium Subscription is activated upon payment validation.

Article 6. Absence of the Right of Withdrawal

Critical point of attention for the User:

In accordance with Article L. 221-28, paragraphs 1° and 13° of the French Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of digital content not supplied on a tangible medium and for contracts for the supply of services fully performed before the end of the withdrawal period.

By validating a Transaction or subscribing to the Premium Subscription for immediate activation, you request the immediate performance of the service and give your prior and express agreement for the service to be fully executed. Consequently, you expressly and irrevocably waive your right of withdrawal.

This consent is collected via a checkbox or an explicit validation button before any paid operation is finalized.

Article 7. Term, Renewal, and Termination of the Premium Subscription

7.1. Term

The Premium Subscription is taken out for a firm period of one (1) year, starting from the date of activation.

7.2. Renewal

Unless terminated by the User under the conditions described below, the Premium Subscription is tacitly renewed for successive periods of one (1) year, at the price in effect on the renewal date.

7.3. Termination

The User may object to the tacit renewal of their Premium Subscription at any time from their account settings. The termination request must be made no later than the day before the expiry date of the current subscription. The termination will take effect at the end of the paid subscription period, without giving rise to a refund.

Article 8. Invoicing

For each Premium Subscription purchased, an invoice is issued and made available to the User in their personal space. The history of collected Commissions can be consulted directly in the User's Transaction history on the application.

Article 9. Liability

WeSplit's liability for the provision of Paid Services is subject to the same conditions and limitations as those stipulated in Articles 4, 5, and 6 of the General Terms of Use (ToU), which the User declares to have read and accepted.

WeSplit's liability shall not, in particular, be engaged for losses of funds resulting from the non-custodial nature of the service, a handling error by the User, or the risks inherent in Blockchain technology.

Article 10. Applicable Law and Competent Jurisdiction

These ToS are governed by and interpreted in accordance with French law.

In the event of a dispute relating to the interpretation, validity, or execution of these ToS, and in the absence of an amicable resolution, exclusive jurisdiction is granted to the competent courts of Paris, notwithstanding multiple defendants or third-party claims.
